1. Who we are and how to contact us

We are District5 Ltd, a company registered with Companies House in England and Wales under number 09960097, whose registered office is at Clifton House, Four Elms Road, Cardiff, S. Wales, United Kingdom, CF24 1LE ("District5"/"we"/"us"/"our").

We provide Kubius, a native macOS application for working with your Kubernetes clusters (the "Service" or "Platform"). In these Terms, "you" means any individual or entity that registers for or uses the Service.

By registering for or using Kubius, you confirm that you accept these Terms and Conditions and agree to comply with them. If you do not agree, you must not use the Service.

We may amend these Terms from time to time. The current version will always be published on this page. Continued use of the Service after any change constitutes acceptance of the updated Terms.

2. Privacy Policy

Your data is important to us and we take it very seriously. Our Privacy Policy sets out the terms on which we process any personal data we collect from you or that you provide to us. By using the Service, you consent to such processing and you warrant that all data provided by you is accurate at the time of input. You agree to update such data promptly if it changes.

3. Eligibility and account registration

To use Kubius you must:

  • be at least 16 years of age;
  • provide a valid email address;
  • choose a password of at least 8 characters; and
  • verify your email address via the confirmation link we send on registration (verification links expire after a short period).

Verifying your email confirms your account and starts your free trial. You must not create more than one account per person, and you must not create an account on behalf of another person without their express authorisation.

4. Keep your account details confidential

Your login credentials (email address and password) are personal to you and must be kept confidential. You must not share them with or disclose them to any third party.

You are responsible for all activity that occurs under your account. If you know or suspect that anyone other than you has access to your account, you must notify us immediately at hello@kubius.io and reset your password without delay.

The Kubius desktop app signs in through your account on our website using a device-authorization flow (you approve the device in your browser); no password is entered in the app itself. We are entitled to disable your account at any time if, in our reasonable opinion, you have failed to comply with any provision of these Terms.

5. Your clusters and your data

Kubius connects directly from your Mac to the Kubernetes clusters you configure, using the kubeconfig and credentials present on your device. Your cluster configurations, credentials, and the cluster data you view in Kubius remain on your device - we do not proxy, transmit, store, or have access to them.

You are solely responsible for the clusters and systems you connect to using Kubius, for ensuring you are authorised to access them, and for any action you take against them through the Service.

6. Licences, free trial, and device activation

Kubius is sold as a one-time purchase. We currently offer two tiers - Kubius Standard and Kubius Pro (Pro adds metrics, right-sizing and cluster dashboards). A purchased licence is perpetual for the tier you bought; it is not a subscription and does not auto-renew.

A free trial is available so you can evaluate Kubius before buying. The trial is limited in time, and is available once per account. To prevent abuse, we may decline to grant a further free trial to an account or email address that has already used one (including after an account is deleted).

Each licence - trial or purchased - may be activated on a limited number of Macs (shown at checkout and in your account). Activating a device binds your licence to that machine. You may deactivate a device to free a slot for another. We may refuse or revoke an activation that exceeds your device limit or that we reasonably believe is fraudulent.

A standard (individual) licence is licensed to one person - you, the account holder - and may not be shared with, transferred to, or used by anyone else. The device allowance exists so that you can run Kubius across your own Macs (for example a laptop and a desktop); it is not a way for several people to use one licence. Sharing your licence, account, or activations with another individual, or using one licence to provide Kubius to multiple people, is not permitted. If more than one person needs Kubius, each person needs their own licence (or a seat under a team/multi-seat licence where offered). We may revoke a licence we reasonably believe is being shared across multiple people.

Licences are issued and validated by our licensing service. The app validates your licence periodically; it continues to work offline for a reasonable grace period, after which it must re-validate. If your account is deleted or your licence is revoked, your activations stop working.

7. Purchase and payment terms

Licence purchases are handled via Mollie, our third-party payment processor. Payment is completed on Mollie's own secure checkout - we do not collect or store your card details on our servers or website. By proceeding to payment you agree to Mollie's User Agreement and Mollie's Privacy Statement.

Current pricing is published on our pricing page. We reserve the right to adjust pricing at any time; the price you pay is the price shown at the time of your purchase.

VAT/Tax: prices are inclusive of VAT/Tax where applicable, charged based on your billing country. If you provide a valid VAT/Tax registration number for your business in a supported country, reverse-charge rules may apply where permitted by law, in which case you are charged the net amount and account for the VAT/Tax yourself. VAT/Tax details are itemised on the invoice issued for your purchase, which you can download from your account.

Payments are non-refundable except where required by applicable law (including any statutory cancellation rights you may have as a consumer).

8. Referral programme

We may operate a referral programme that lets account holders share a personal referral link. Where the programme is active:

  • New-customer discount. A person who is new to Kubius and arrives via your referral link may receive a discount on their first licence purchase. The discount applies only to genuinely new customers and only to a first purchase; it does not apply to renewals, upgrades, team seats, or to anyone who has purchased before.
  • Referrer reward. When a purchase made through your link completes, you may earn a reward in the form of a single-use, account-specific discount coupon that you can apply to a future eligible purchase of your own.
  • Amounts and currency. The discount percentage and reward amounts in effect are shown on our referral page and in your account. They may change at any time, and the figures that apply to any given referral are those in effect when the referred purchase completes. Your reward is issued in your own currency (determined from your billing details where available) and is applied as a fixed amount off at checkout; it is not a currency conversion.
  • No cash value. Discounts and rewards have no cash value, cannot be exchanged for cash, are non-transferable, and cannot be combined with another coupon or offer on the same purchase.

You must not abuse the programme. In particular, you must not refer yourself, create accounts or purchases that are not genuine, or use automated, bulk, misleading, or spam methods to generate referrals. We may withhold, reduce, void, or reclaim any discount or reward, and suspend or close accounts, where we reasonably believe the programme is being abused or these Terms are being breached.

We may change, suspend, or end the referral programme, or change its terms, at any time and without notice. Doing so will not affect rewards already validly issued to your account.

9. Acceptable use

You must use Kubius only for lawful purposes and in accordance with these Terms. You must not:

  • use the Service to carry out, facilitate, or store any unlawful content or activity;
  • use the Service to access, target, probe, or attack clusters, systems, or networks that you do not have authorisation to access;
  • attempt to gain unauthorised access to the Platform, its servers, our licensing service, or any database or system connected to it;
  • introduce viruses, trojans, worms, logic bombs, or any other malicious or technologically harmful material;
  • carry out or facilitate a denial-of-service attack or distributed denial-of-service attack against the Platform or any third party;
  • attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Platform, or circumvent its licensing or activation controls;
  • resell, sublicense, or redistribute the Service or your licence except as expressly permitted; or
  • use the Service in any manner that could damage, disable, overburden, or impair it.

Breaching these provisions may constitute a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and co-operate fully, including by disclosing your identity. Your right to use the Service will cease immediately upon such a breach.

You agree to indemnify District5 against any losses, damages, expenses, or other liabilities of any nature that we may suffer as a result of any breach by you of these Terms.

10. Intellectual property

We are the owner or licensee of all intellectual property rights in the Kubius Platform and in the material published on it, including but not limited to the software, design, trademarks, and brand. All such rights are reserved. Your purchase grants you a personal, non-exclusive, non-transferable licence to use Kubius in accordance with these Terms and your tier and device limits - it does not transfer ownership of the software to you.

You must not use any part of the Platform's content or materials for commercial purposes without obtaining our prior written consent.

11. Availability and suspension

We will use reasonable endeavours to ensure that the Service is available and performant, but we do not guarantee uninterrupted or error-free operation. The website and licensing service may be temporarily unavailable due to scheduled maintenance, updates, or events outside our control. Because Kubius talks directly to your clusters, the desktop app continues to work offline against them within the licensing grace period.

We reserve the right to suspend or withdraw access to all or any part of the Service for business or operational reasons. We may suspend or terminate your account without notice if you are in breach of these Terms or if we are required to do so by law.

12. Third-party services

The Platform may contain links to or integrations with third-party services. These are provided for your convenience only. We are not responsible for the content, availability, or practices of any third-party service, and the inclusion of a link or integration does not imply our endorsement.

When you use Kubius to connect to your Kubernetes clusters or other third-party systems, you do so at your own risk and under the terms of those systems. We are not a party to any such interaction and accept no liability for any consequences arising from it.

Whilst we will do our best to ensure the Platform is secure, we cannot guarantee that it will be entirely free from bugs or vulnerabilities. You are responsible for configuring your own systems and using appropriate security software when accessing the Platform.

13. Limitation of liability

To the fullest extent permitted by applicable law:

  • the Service is provided "as is" and "as available" without warranty of any kind, express or implied;
  • we exclude all conditions, warranties, representations, or other terms which may apply to the Service, whether express or implied;
  • we will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with use of or inability to use the Service or use of or reliance on any content displayed on the Service;
  • in particular, we will not be liable for loss of profits, sales, business, or revenue; loss of data; loss of anticipated savings; loss of business opportunity, goodwill, or reputation; any damage to clusters or systems you operate using the Service; or any indirect or consequential loss or damage.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

14. English law will apply

These Terms, your use of the Service, and all matters connected to or arising from them are governed by the laws of England and Wales. You and we both agree that the courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising from, or related to, these Terms or the Service.

15. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will notify you by email or by an in-app notice. The date at the top of this page reflects when these Terms were last updated. Continued use of the Service after any changes take effect constitutes your acceptance of the new Terms.
